1. What the service is
The Pre-payment Supplier Verification ("the Service") is a document-based review provided by ThinkAsModel Limited ("we", "us"). For a single fee you receive one written report on one Chinese legal entity, covering: subject confirmation, key findings, items not verified, and recommended next actions.
We also sell the Lookup report, a self-serve product described in section 8. Sections 2 to 5 apply to the Service only. Sections 6 and 7 apply to the Service and to Lookup reports, and references to "the Service" in those sections include Lookup reports.
2. Delivery
Reports are delivered by email within two business days (Hong Kong time) of payment and receipt of usable materials. If we need more material we will ask once; the clock restarts when it arrives.
3. No guarantee
Verification results do not guarantee transaction safety, contract performance, or ownership of any bank account. A report describes what the documents and public records show at the time of review. It is not legal, financial or investment advice, and it is not a recommendation to proceed with or abandon a transaction.
4. Refunds
Full refund if the materials you provide are not enough for us to identify the legal entity, or if we fail to deliver within the stated time. A report that finds a document to be forged, altered or inconsistent with the public record is a delivered report, not a failure to identify: identifying such a document is part of the Service. This does not affect a refund for late delivery. Our voluntary refund policy does not provide a change-of-mind refund after delivery. This does not affect any right or remedy available under applicable law, including for a defective or misdescribed service. See the Refund policy.
5. Your materials
You confirm you are entitled to share the documents you upload. We use them only to produce your report and delete them 30 days after delivery. See Privacy.
6. Liability
We will carry out the Service with reasonable care and skill. Our report is limited to the entity, materials, sources and review date identified in it. It does not guarantee a supplier's performance, solvency, product quality or the safety of a payment.
Nothing in these terms excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Nothing in these terms removes any statutory right or remedy that cannot lawfully be waived.
Subject to the exceptions above and only to the extent permitted by applicable law, our total aggregate liability arising out of or in connection with a particular paid report, whether in contract, tort (including negligence) or otherwise, is limited to the fee you paid for that report.
Any limitation of liability agreed for the Service applies only to the extent permitted by applicable law. The refund commitments in our Refund policy remain in effect and do not replace rights or remedies that applicable law gives you.
7. Disputes
These terms and disputes arising out of or in connection with the Service are governed by the laws of Hong Kong, subject to any mandatory law that applies and cannot be excluded by agreement.
You may contact support@chinatherealdeal.com with your order ID and a description of the issue so that we can try to resolve it. Contacting us first is not a condition of exercising a legal right and does not suspend or shorten any applicable time limit.
The courts of Hong Kong have non-exclusive jurisdiction over disputes arising out of or in connection with the Service. This does not restrict any right you may have under mandatory law to bring proceedings in another competent court.
8. Lookup reports
A Lookup report is a one-off, automated English report on the record that a commercial business-registry data provider holds for one Chinese company. You choose the company from our search results before you pay; check the name and credit code shown, because the report covers the company you selected. The fee is US$9.
The report is produced without human review. It is usually ready within a few minutes of payment. We show it on a report page and email you a link to that page. Anyone who has the link can open the report, so keep the link private.
The report is for your own use in assessing the company. You may share it with your professional advisers. You may not publish it, make it available to the public, or resell it.
The report page stays available for 30 days after the report is ready. After that we delete the stored report; save or print it if you need it later.
If you order the Service from the report page, the US$9 you paid is deducted from its price (US$129 becomes US$120). The deduction can be used once, for the first Service order paid with it. It has no cash value and cannot be exchanged or refunded on its own.
